四 | 但与华纳投资之间无一致行动协议和安排。　　正是由于上述股权结构高度分散，华昌化工长期处于无实际控制人状态。　　此次控股股东筹划协议转让公司股份一旦落地，将直接打破这一多年的治理格局，新的控股股东或将随之产生。　　2026上半年净利增长逾10倍　　华昌化工2008年上市，是一家以煤气化为产业链源头的综合性化工企业，经过五十余年的发展，形成了基础化工、化学肥料、新材料三大产业链。　　其中，基础化工板块以煤制合成气为核心，生产合成氨、尿素、纯碱、氯化铵、甲醇、硝酸等产品；化学肥料板块利用煤化工生产的尿素、氯化铵加工新型肥料；新材料板块则以合成气与丙烯等为原料，生产多元醇、新戊二醇、聚酯树脂等醇类、增塑剂、树脂及涂料产品。近年来，公司还在氢能源领域有所布局，涉足与氢燃料电池汽车相关的产业环节。　　从近年财务表现来看，华昌化工经历了一轮明显的业绩起伏。自2021年创下业绩高点后，公司业绩持续下滑，并在2025年跌入谷底：全年实现营收65.06亿元，同比下降17.96%；归母净利润亏损2.04亿元，同比由盈转亏。　　然而，2026年上半年华昌化工迎来了业绩的强势反转。半年报显示，公司实现营收40.16亿元，同比增长24.85%；归母净利润为1.23亿元，同比增长1026.90%；扣非净利润为1.20亿元，同比增长2667.54%。　　业绩爆发的核心驱动力来自精细化工板块的爆发式增长。报告期内，精细化工行业实现营业收入20.84亿元，同比增长77.19%，占营收的比重从上年同期的36.56%跃升至51.89%，超越化学肥料成为公司第一大收入来源。其中，多元醇产品贡献营收20.42亿元，同比增长79.04%，占营收的比重达50.84%。　　公司方面表示，多元醇项目投产后销售量增加，叠加产品销售价格上涨，共同推动了该板块收入与毛利双增。

五 | 　　从行业背景看，上半年国际油价维持高位运行，油煤价格“剪刀差”持续拉大，煤制化工品价格同步提升，国内煤化工行业迎来景气度上行周期，华昌化工的煤制多元醇路线因此显著受益。　　此次控股股东筹划控股权转让，恰逢公司刚刚交出净利增超10倍的半年报，盈利拐点确认。

六 | 不过，华昌化工在公告中明确提示该事项尚在筹划洽谈阶段，相关协议尚未签署，存在终止的可能。
